    Function:

    The Director of Compliance and Governance Counsel (Director) is responsible for matrixed management of the Research Foundation's Compliance Program, as approved by the Research Foundation's Board of Director's Audit Committee. The Director will report to the General Counsel and Secretary and will have dotted line reporting relationship to the Audit Committee. The Director will supervise the Compliance team and work collaboratively within Counsel's Office, and with SUNY, RF Leadership team and RF Board of Directors.

     

    The Director will oversee functional areas of compliance and provide programmatic compliance support to other function owners and leaders on those compliance matters within their areas of responsibility, to safeguard the corporation, its customers, reputation, assets and the interests of stakeholders by ensuring compliance with relevant laws, regulations, and internal policies, and identifying and managing risks, liabilities, and threats to the achievement of its business objective. The Director will provide regular updates to the Audit Committee on the status of the Compliance Program.

     

    The Director will provide advice, guidance, and communications on the corporation's ethics and values program; oversee the process for the administration of corporate policies and procedures; and assist the General Counsel and Secretary in matters related to corporate governance, NY law, corporate bylaws, and committee charters.

     

    The incumbent also serves as the Department of Defense recognized Facility Clearance Official responsible for implementation and management of the corporate security clearance program.

     

    The incumbent serves as the corporate FOIL Appeals Officer responsible for the timely processing of any FOIL appeals submitted to the corporation.

    Essential Duties and Responsibilities:

    + Directly oversee the elements of the RF's compliance program that includes Ethics and Corporate Conduct; Conflicts of Interest Management (COI); Records Retention and Data Management; Policies Administration; and Insurance.

    + Assist in and coordinate the following elements of the compliance plan with the responsible Vice President: Anti-Fraud and Whistleblower; Risk Management; Internal Controls; Privacy; Export Controls; and Foreign Influence.

    + Support the General Counsel and Secretary through provision of legal advice and guidance relative to New York laws and regulations on corporate governance and other board related matters.

    + Supervise the staff responsible for conflict management, policy administration, ethics, insurance management, and the related learning and development programs.

    + Monitor RF operating locations' Conflict of Interest processes and provide advice and counsel on escalated issues, as needed. Coordinate the development of a process applicable to all administrative positions to assure that COI are self-identified, and any potential conflicts are managed and documented properly. Oversee ongoing monitoring, management, documentation, and mitigation of RF- related any COI issues.

    + Collaborate with key personnel to ensure the RF has, maintains and implements appropriate policies and procedures that support efficient and compliant operations;

    + Serve as the Freedom of Information Appeals Officer by rendering opinions to third parties on freedom of information appeals;

    + Serve as Facility Clearance Officer in relation to the RF's federal security clearance as necessary;

    + Continuously research, interpret, and evaluate evolving trends, legislation, and regulations governing RF operations and identify opportunities for collaboration with SUNY and assist with development of policy or process recommendations.

    Other Key Responsibilities:

    + Provide advice and guidance regarding the implementation of the Research Foundation's Strategic and Operating Plans;

    + Coordinate activities with appropriate SUNY and campus counterparts and stakeholders;

    + Provide input and strategy towards the furthering the RF's Culture of Compliance and Code of Conduct;

    + Provide input to senior leadership regarding the business, legal, and communication strategies utilized to achieve the mission, goals, and strategic objectives of the Research Foundation;

    + Other tasks as assigned by the General Counsel and Secretary, President, Chief Operating Officer or Board of Directors.

    Job Requirements:

    Education/Experience:

    Juris Doctor degree and admission to the New York State bar. 15 years of progressively more complex legal, technical, and managerial experience. Compliance and/or Ethics certification preferred.

     

    Compensation for this position: The compensation for this role is between $160,000 - $180,000. The pay will depend on a variety of factors that may include but are not limited to experience, education, training, certifications, and internal equity.
