As Senior Legal Counsel – Caremark you will provide strategic legal and regulatory counsel to internal stakeholders and senior/executive management with respect to federal/state healthcare regulations and laws. You will proactively advise business partners on a wide variety of matters and work collaboratively with other attorneys and partners on matters related to legal and regulatory compliance.

You will identify business and legal risks and provide solutions which balance legal issues and business objectives. You will be expected to develop a keen understanding of the business and operational goals of assigned internal clients and work diligently to develop and maintain engaged and supportive relationships with clients at all levels of the organization.

You will support various parts of the CVS Health enterprise, likely to include one or more of the following: CVS Caremark, Medical Affairs, and Clinical Operations. You will recommend practical and sound advice to internal clients on legal issues related to business objectives and take an active role in driving projects to final result.

You will independently coordinate and oversee multiple legal issues and risk assessments often within short timelines with high visibility and significant importance to the organization. You will work in a highly matrixed organization and be able to support legal issues cross-functionally that may impact a variety of different areas across the Company.

As part of the Legal team, you will gain experience working with a dynamic in-house legal department and play a key role in supporting the business. You will further develop your skills in a regulated environment. You will have a strong work ethic, be a self-starter, and be able to be highly productive in a dynamic, collaborative environment. This position offers broad exposure to all aspects of the company’s business, as well as significant interaction with all the business leaders.

Major Responsibilities

+ Serve as senior legal counsel for CVS Health’s PBM, Caremark.

+ Advise clients with respect to the application of federal and state laws and regulations to the Company’s business activities.

+ Research and maintain current knowledge of applicable federal and state healthcare laws and regulations and insurance laws related to pharmacy benefit managers.

+ Effectively communicate regulatory constraints and operational guardrails to non-legal and non-clinical partners.

+ Review PBM-issued member and prescriber communications, as well as sales and marketing materials, to ensure accuracy, regulatory compliance, and consistency with approved clinical and operational standards. Identifies risks, recommends corrections, and confirms alignment with plan design and applicable state and federal requirements.

+ Review draft responses to consumer complaints from state and federal regulators to ensure accuracy, regulatory alignment, and consistency with plan requirements. Works with business partners to verify facts, resolve discrepancies, and maintain clear, defensible documentation.

+ Consult with other subject matter legal/compliance experts, including, Provider Network Counsel, Litigation, Government Affairs, Privacy, and Compliance.

Required Qualifications

+ 8+ years of legal counsel experience in a law firm and/or in-house setting.

+ Strong knowledge of healthcare laws and regulations.

+ Admitted to practice law in at least one state and in good standing of applicable bar association(s).

Preferred Qualifications

+ Experience at a PBM, Pharmaceutical Manufacturer and/or Health Plan.

+ Experience in ERISA and/or ACA.

+ Experience managing and/or collaborating with outside counsel.

Juris Doctor (JD) is required

Bachelor’s Degree is required

Pay Range

The typical pay range for this role is:

$175,100.00 - $334,750.00

This pay range represents the base hourly rate or base annual full-time salary for all positions in the job grade within which this position falls. The actual base salary offer will depend on a variety of factors including experience, education, geography and other relevant factors. This position is eligible for a CVS Health bonus, commission or short-term incentive program in addition to the base pay range listed above. This position also includes an award target in the company’s equity award program.
