Responsibilities and practice
Dentons US LLP is seeking a mid-level associate to join our Chambers-rated Agency and Trust team within our renowned Capital Markets practice. The ideal candidate will have four to six years of law firm experience working on Collateralized Loan Obligations (CLOs). In addition to this involvement with CLOs, experience with other structured finance asset types would also be beneficial (e.g., whole business, datacenter, cable/fiber, auto securitizations, residential mortgage-backed, commercial mortgage-backed, triple-net lease). The individual hired for this role will be part of a dedicated Agency and Trust team and will be responsible for drafting and reviewing transaction documents, coordinating with trustees and other transaction parties, supporting deal execution and post-closing matters, conducting legal research, and assisting with internal practice development initiatives. The person hired for this position will be a part of a dedicated Agency and Trust team and expected responsibilities will include, but are not limited to:
+ Representing Trustee, Security Registrars, Collateral Administrators, Securities Administrators among other service providers in structured finance transactions
+ Reviewing and negotiating primary transaction documents and agreements
+ Drafting and negotiating ancillary documents and agreements
+ Communicating with clients and transaction counterparties
+ Working collaboratively to manage all aspects of our work
+ Supporting the practice as needed

Outside of the Agency and Trust group, our highly-regarded team represents virtually every banking and financial institution in the financing, purchase and securitization of financial assets as well as every type of market participant, including issuers, underwriters, investors, liquidity providers, lenders, conduits, trustees, servicers and originators in the US and beyond.
Pursuant to NY law, the salary range for this position in New York City is $310,000 - $390,000, based on experience. Dentons US LLP offers a competitive salary and benefits package including medical, dental, vision, 401k, short-term/long-term disability, life insurance, tuition reimbursement, paid time off, paid holidays and discretionary bonuses. Based on years of experience, Dentons associates may have a title of Associate, Managing Associate, or Senior Managing Associate.
