Description
We are looking for a skilled Corporate Counsel to join our client's team in King of Prussia, Pennsylvania. In this long-term contract position, you will play a pivotal role in providing legal guidance on real estate transactions, commercial contracts, and corporate matters. This opportunity is ideal for candidates with a strong background in contract negotiation and corporate law, seeking to contribute to a dynamic and fast-paced environment.
Responsibilities:
+ Serve as primary legal support on real estate matters: drafting and negotiating real estate purchase Letters of Intent (LOIs), purchase and sale agreements, reviewing and clearing title commitments and due diligence materials, and negotiating commercial leases and lease riders for compliance with company requirements.
+ Negotiate, draft, review, and oversee the lifecycle of a broad range of contracts, including complex vendor Master Services Agreements (MSAs), Statements of Work (SOWs), legal terms and conditions, non-disclosure agreements (NDAs), and related documents.
+ Support contract administrator on internal review and approval process for all agreements, partnering closely with business units, IT, and leadership.
+ Act as a trusted advisor to internal teams, serving as an initial point of contact for interpreting contract processes, company requirements, and legal terms.
+ Actively contribute to process improvement initiatives, leveraging technology such as contract lifecycle management (CLM) platforms, AI, and workflow automation tools as needed to drive efficiencies within the Legal team.
+ Support special projects and assist with other legal matters as assigned, including those related to franchise development, human resources, and compliance.
+ Performs legal research and provides opinions or memoranda on related issues, as requested.
Requirements
+ Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.
+ 4+ years of legal experience in a corporate setting or law firm with a strong focus on commercial contracts and corporate/business matters; prior in-house counsel experience strongly preferred.
+ Demonstrated expertise in complex contract review and negotiation (MSAs, SOWs, legal T& Cs, NDAs, etc.) is required.
+ Substantial hands-on experience managing real estate transactions, including negotiating LOIs, purchase agreements, reviewing title and due diligence, and handling commercial leasing/riders.
+ Experience supporting franchise or multi-unit business models is a plus but not required.
+ Familiarity with contract lifecycle management systems and commitment to driving process and technology improvements.
+ Ability to handle multiple projects in a dynamic, fast-paced environment while maintaining a proactive and detail-oriented approach.
+ Excellent research, analytical, problem-solving, verbal, and written communication skills; able to advise, influence and educate business partners of all levels.
+ Highly organized, dependable, and team-oriented, with the ability to adapt to shifting priorities and deliver high-quality work under deadlines.
