    A Day in the Life

     

    This newly created Senior Principal Paralegal – Securities and Corporate Governance role supports the Diabetes MiniMed business as it prepares for its announced separation from Medtronic. This is an exciting opportunity for a legal professional with deep expertise in a wide variety of corporate governance and securities matters.

     

    This position will report to the Deputy General Counsel, serving as a key paralegal in matters relating to corporate governance, securities law compliance, entity management, public company reporting, Board and committee administration, and corporate transactions. The successful candidate will work closely with in-house counsel, compliance, finance, and external advisors to ensure the company’s corporate records, disclosures, and governance process are accurate, timely, and compliant with applicable laws and regulations. This role will also support MiniMed's General Counsel in Board secretarial governance, coordination, and management matters.

    This role requires on-site work at the Northridge, CA office at least three days per week. Flexibility for hybrid or remote arrangements may be available for exceptional candidates.

    Responsibilities may include the following and additional duties as assigned:

    + Maintain corporate books and records, including minute books, resolutions, charters, bylaws, and committee documentation.

    + Prepare and coordinateBoard ofDirectorsandcommittee material, including agendas, resolutions, minutes, and written consents.

    + Manage annual and special meetinglogistics, director and officer elections, and governance calendars.

    + Support secretary functions and ensure compliance with corporate governance best practices, as well as serve as the primary paralegal support for the Board of Directors and board committees.

    + Assistwith preparation, coordination, and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings (Forms 3, 4, and 5), and related disclosures.

    + Track insider trading compliance, blackout periods, and pre-clearance processes.

    + Monitorsecurities law developments andassistwith compliance documentation and internal controls related to public company obligations.

    + Coordinate with outside counsel, auditors, transfer agents, and corporate service providers.

    + Maintain contract and compliance tracking systems and support internal reporting obligations.

    + Provide paralegal support for corporate transactions, includingfinancings, mergers and acquisitions, reorganizations, and IPO readiness.

    + ManageU.S. and globalsubsidiary governance matters including preparing resolutions for subsidiary formation, dissolution, director and officer changes, banking resolutions, delegations of authority, powers of attorney and share register updates.

    + Oversight and responsibility for the global subsidiary database (CSCNavigator) forMiniMed’sdomestic and internationalsubsidiaries.

    + Responsible for various secretary of state filings related to mergers, divestitures, name changes, qualifications, withdrawals, d/b/a filings and more.

    + Support director onboarding, education, and annual governance process, including questionnaires, evaluations, and compliance certifications.

    + Maintain director and officer records, including terms, independence determinations, committee assignments, and onboarding/offboarding documentation.

    **Must Have:** **Minimum Qualifications** :

    + Bachelor's Degree with 10+yearsof experience working with database management systems, subsidiary governance, and corporategroupentity planning (including supportingBoard coordination and management and divestiture transactions);

    + or,an advanced degree with 8+ years of experience.

    + Demonstrated experience supportingboards andboardcommittees in a public company environmenton corporate governance matters andlogistics.

    + Familiarity with resolutions including terminology,formattinglegaldocuments,knowledge and understanding of state corporate laws and federal/state securities laws and regulations.

    + Familiarity with healthcare, medicaldevice, life sciences, or other highly regulated industries.

    **Preferred Qualifications** :

    + Strong judgment and ability to provide practical, effectivesupportandidentifyalternative solutions tocomplexproblems.

    + Strong workethicand team-oriented approach,withtheability to connect with people and build trust.

    + Ability to work collaboratively and effectively in a fast-paced environment and manage multiple projects simultaneously.

    + Excellentcommunicationskills(oral and written) andstronginterpersonal skillswiththe ability to workacross departments andexternally;must be proactive in providingsupportto relevant stakeholders.

    + Public company or IPO-stage experience.

    + Problem-solverwith the abilityto drive resolution in challenging situations.

    **Additional Information** :

    + Travel may berequiredup to20% to support business and legal needs.

    Salary ranges for U.S (excl. PR) locations (USD):$127,200.00 - $190,800.00

     

    This position is eligible for a short-term incentive called the Medtronic Incentive Plan (MIP).

     

    The base salary range is applicable across the United States, excluding Puerto Rico and specific locations in California. The offered rate complies with federal and local regulations and may vary based on factors such as experience, certification/education, market conditions, and location. Compensation and benefits information pertains solely to candidates hired within the United States (local market compensation and benefits will apply for others).

     

    The following benefits and additional compensation are available to those regular employees who work 20+ hours per week: Health, Dental and vision insurance, Health Savings Account, Healthcare Flexible Spending Account, Life insurance, Long-term disability leave, Dependent daycare spending account, Tuition assistance/reimbursement, and Simple Steps (global well-being program).
