Purpose:
The Associate Counsel provides effective legal counsel to assist in meeting the legal needs of a large, diverse health care financing and delivery system.
This position may have the opportunity to be based out of the Williamsport or Harrisburg region depending on circumstances.
Responsibilities:
+ Subject to the responsibility, authority and oversight of the Senior Vice President and Chief Legal Officer, independently, and with minimal general supervision and oversight, provide legal counsel and legal services as identified below to UPMC's corporate departments and to those UPMC physician groups, hospitals, divisions and business units to which the Associate Counsel is assigned, which shall include interaction on a regular basis with senior leadership of such areas.
+ Apply general legal knowledge in the following areas, among others: federal and state health care laws and regulations (e.g. Medicare, Medicaid, licensure, accreditation, malpractice liability, medical staff, medical research regulation, patient care law, behavioral health, guardianships, etc.), corporate law, taxation, real estate, antitrust, insurance, intellectual property, commercial and finance; and apply specialized legal knowledge in many such areas.
+ Provide counsel to senior leadership, managers and staff throughout UPMC and address and resolve legal issues as they arise on a daily basis, such as in the areas of regulatory and patient care law. Conduct legal research and perform legal analysis.
+ Apply legal knowledge, analysis and judgment to identify alternative approaches and their relative merits and recommend solutions to legal problems, including highly complex issues.
+ Responsible for one or more of the following: Serving independently, and with minimal general supervision and oversight, as primary legal counsel for one or more corporate departments or business units within the organization; independently, and with minimal general supervision and oversight, handling significant and complex business transactions, such as corporate, finance and/or real estate transactions, including acquisitions, divestitures, mergers and joint ventures, including structuring and negotiating the transaction and preparing legal documents; independently representing UPMC business units in complex and significant legal proceedings before arbitrators, administrative agencies, magistrates, state and federal courts and/or in regulatory and legal investigative proceedings; providing assistance, guidance and learning opportunities for less senior UPMC attorneys.
+ Provide guidance with respect to contractual arrangements and prepare contractual and other legal documentation including without limitation for UPMC Supply Chain Management Department.
+ Review and recommend changes to corporate policy to ensure compliance with legal requirements.
+ J.D. Degree required.
+ Minimum 8 years experience as a practicing attorney, including significant experience and expertise in health law or another relevant specialty, such as employment law or litigation.
+ Must demonstrate strong legal analytical skills, communication skills, solid legal writing skills, and problem solving and conflict resolution skills.
+ Must demonstrate ability to independently handle unique, sensitive and complex legal matters, without supervision and oversight.
+ Pennsylvania license or obtain such license within six (6) months of date-of-hire requiredLicensure, Certifications, and Clearances:PA Attorney's License within 6 months from date of hire is required.
