Title: Senior Vice President, Corporate Law & Strategic Operations Location: Brisbane, CA About Us: Vera Therapeutics (Nasdaq: VERA), is a late clinical-stage biotechnology company focused on developing treatments for serious immunological diseases. Vera's mission is to advance treatments that target the source of immunologic diseases in order to change the standard of care for patients. Vera's lead product candidate is atacicept, a fully humanized fusion protein self-administered at home as a subcutaneous weekly injection that blocks both B-cell Activating Factor (BAFF) and A Proliferation Inducing Ligand (APRIL), which stimulate B cells to produce autoantibodies contributing to certain autoimmune diseases, including IgA nephropathy. Position Summary: The Senior Vice President, Corporate Law & Strategic Operations will be pivotal in driving our corporate and operational strategies, with a focus on corporate transactions and financing, research & development, regulatory compliance, human resources, quality assurance, and strategic outsourcing and legal operations. The Senior Vice President, Corporate Law & Strategic Operations will report directly to the CLO, will be a member of the legal leadership team, and will work collaboratively with stakeholders across the organization. Responsibilities: * Corporate Transactions and Financing: At the direction of the CLO and in conjunction with other members of the legal team, support and execute corporate transactions, including mergers, acquisitions and financings. Provide legal oversight and strategic advice on all corporate finance activities. * Research & Development (R&D): Provide strategic direction and counsel to the R&D department, working closely with internal and external IP counsel, ensuring alignment with corporate goals and regulatory requirements. Support clinical transactions and collaborations, working closely with the R&D team. * Regulatory Compliance: Ensure the Company's operations comply with all relevant laws and regulations. Develop and implement regulatory strategies to support business objectives. * Human Resources: Provide counsel to the human resources function, including employee relations and compliance with labor laws. Foster a positive and inclusive workplace culture. * Quality Assurance (Q&A): Ensure the highest standards of quality across all operations. Develop and implement quality assurance policies and procedures. * Strategic Outsourcing: Manage the function to optimize for operational efficiency and cost-effectiveness. * Maintain a strong working knowledge of applicable laws, regulations, and trends to identify and manage emerging risks and opportunities. * Manage outside corporate counsel, other legal counsel and vendors, and associated budgets, to achieve timely and cost-effective work. * Work collaboratively and creatively with stakeholders and other members of the legal department to provide a broad spectrum of high-quality legal advice and day-to-day counseling. Clearly and effectively render practical, timely legal advice. * Perform special projects as assigned and demonstrate leadership ability on a wide range of issues. * Legal Operations: Assist with the management of the function including budgeting, operations, non-legal professional development, and matter management. Qualifications: * J.D. from an accredited law school. * Must be a member in good standing of the California State Bar or otherwise qualified for admission to practice law in California as registered in-house counsel. * 15+ years of corporate and strategic operations experience, including experience in a senior leadership role. * Combination of law firm and in-house experience at a pharmaceutical, biotechnology, or medical device company. * Extensive experience in corporate transactions, financing, and regulatory compliance. * Experience with R&D and clinical transactions. * Experience counseling the Human Resources function. * Proven ability to think strategically about achieving corporate objectives by addressing the needs of internal and external stakeholders. * Skilled at integrating legal advice with business acumen and sound judgment. * Able to serve as a strong business partner, collaborator and project manager. * Excellent communication, negotiation, problem-solving, and analytical skills. * Excellent training and presentation skills, strong interpersonal skills and ability to strategically educate and support fellow employees. * Self-motivated, innovative, strategic, detail-oriented and able to consistently provide high quality and timely work product and manage multiple projects. * Ability and track record of successfully working in cross-functional teams. * Demonstrated success in a fast-paced, high-performing, fluid, and collaborative culture. * Ability to travel as necessary. * Motivated by the goal of restoring health and allowing patients to live better, longer lives. For this role, the anticipated base pay range starting at $362,000. The exact base pay offered for this role will depend on various factors, including but not limited to the candidate's geography, qualifications, skills, and experience. At Vera, base pay is only one part of your total compensation package. The successful candidate will be eligible for an annual performance incentive bonus, new hire equity, and ongoing performance-based equity.
