    Summary

    As Senior Corporate Counsel, you will be an integral part of the Legal Department, responsible for supporting mergers, acquisitions, joint ventures, and other complex corporate transactions. This role will also work closely with Growth teams to negotiate commercial contracts, as well as support the company's compliance and regulatory functions. The ideal candidate will have substantial experience in corporate law, commercial transactions, and regulatory compliance, with a strong background supporting complex corporate transactions.

     

    This position will support our Legal team. It is eligible to work a hybrid schedule, generally requiring work in-office 2-3 days per week. This position is based out of Dallas, TX.

     

    Essential Duties & Responsibilities

     

    + Manage various aspects of the M&A process, including advising on deal structure, due diligence, transaction documents, and regulatory compliance.

    + Conduct comprehensive due diligence on targets, identifying and assessing risks and opportunities, and working with subject matter experts across the company.

    + Draft, review, and negotiate transaction documents, such as letters of intent, term sheets, confidentiality agreements, purchase agreements, joint venture agreements, and ancillary contracts.

    + Assist in the closing process, as well as post-transaction integration and compliance activities.

    + Draft, review, and negotiate a wide range of commercial agreements, including service agreements, licensing agreements, SOWs, leases, and procurement contracts.

    + Monitor regulatory developments and industry trends to ensure ongoing compliance with applicable laws and regulations, including with respect to developments in AI and Sustainability.

    + Assist in establishing and maintaining appropriate policies, procedures, and training to ensure compliance with relevant laws.

    + Conduct risk assessments and audits, as necessary.

    + Provide training and education to employees on legal and compliance issues.

     

    Education & Experience

     

    + Juris Doctorate (J.D.) Degree from accredited law school.

    + Minimum of 5-8 years of experience in mergers and acquisitions, corporate law or related field, within a corporate legal department and/or a nationally recognized law firm.

    + In-house experience with a large multi-national company is preferred.

    + Strong communication and contract drafting skills required, as well as solid proficiency in PowerPoint and Excel.

    + Membership in good standing with at least one state bar.

    Travel Requirements

    Travel up to 25%
