Description

We are seeking an experienced and detail-oriented Corporate Paralegal for an exciting contract-to-hire opportunity with a growing company located in Santa Monica, CA. This hybrid role offers the flexibility of remote work combined with in-office collaboration. The successful candidate will play a key role in corporate governance, compliance, and contract management, supporting the legal team and contributing to the organization's success.

Key Responsibilities:

+ Prepare, draft, and organize a wide variety of corporate legal documents, including shareholder agreements, bylaws, board resolutions, and other governance materials.

+ Maintain corporate records, compliance filings, and minute books for multiple entities.

+ Conduct legal and regulatory research to ensure compliance with applicable laws and regulations.

+ Assist with contract lifecycle management, including the drafting, review, and tracking of agreements.

+ Support corporate transactions, including mergers, acquisitions, and corporate reorganizations.

+ File state and federal documents, such as annual reports, business licenses, and foreign entity registrations.

+ Act as a liaison between internal teams, external stakeholders, and regulatory bodies.

Requirements

Requirements:

+ Bachelor’s degree and Paralegal Certification preferred.

+ A minimum of 3 years of corporate paralegal experience in a law firm or corporate legal department is required.

+ Strong knowledge of corporate structures, governance, and compliance.

+ Experience with contract lifecycle management platforms is a plus.

+ Excellent organizational skills with strong attention to detail and task prioritization.

+ Ability to work collaboratively in a hybrid environment, demonstrating both autonomy and team cooperation.

+ Proficient in Microsoft Office Suite and legal research tools.
