Description
We are looking for a skilled and proactive Director of Legal Affairs for a company in the Metro Detroit area. This individual must have significant experience with government contracts.
Key Responsibilities
+ Evaluate and process purchase order terms to align with business goals and minimize legal exposure.
+ Collaborate with project managers, sales, and senior leadership to address and mitigate contract-related risks.
+ Approve incoming purchase orders and manage entries into the enterprise resource planning (ERP) system.
+ Draft, negotiate, and execute various legal agreements including sales, service, licensing, NDAs, and strategic partnerships.
+ Maintain organized contract records and ensure internal teams are informed of financial obligations such as royalties or agent commissions.
+ Serve as the company’s primary export compliance officer, overseeing the implementation of export control practices and conducting staff training.
+ Conduct due diligence on customers and third parties to ensure adherence to U.S. regulations.
+ Classify products for export, manage license applications, and maintain regulatory registrations with federal agencies..
+ Support compliance with small business subcontracting rules under federal regulations by coordinating with purchasing and program management teams.
+ Design and implement organization-wide compliance programs in areas such as anti-corruption, data privacy, and confidential information protection.
+ Lead internal training sessions and conduct annual audits to ensure ongoing adherence to company and regulatory standards.
Requirements
• Extensive knowledge of Defense Federal Acquisition Regulation Supplement (DFARS) and Federal Acquisition Regulation (FAR).
• Proven experience in contract administration and legal risk management.
• Strong background in negotiating and managing complex agreements.
• Ability to collaborate effectively with cross-functional teams and external counsel.
• Exceptional organizational skills for maintaining accurate records and documentation.
• Proficiency in managing financial instruments such as letters of credit and performance bonds.
• Excellent communication skills to provide legal advice and updates to stakeholders.
• Bachelor’s degree in Law, Business Administration, or a related field; advanced degree preferred OR will considered licensed attorney in the State of Michigan
