About the Team
The role will be part of the Nutanix Legal team, a global group of business-minded legal professionals dedicated to being a competitive advantage for the company. This team is located near San Jose or Durham, with flexibility for remote work for strong candidates nationwide. The culture within the Legal team is characterized by agility, integrity, and collaboration, as they work at the intersection of technology, risk management, and business enablement. The mission of the team is to provide practical, scalable legal solutions that support innovation and accelerate growth while ensuring the company meets its legal and regulatory obligations.
You will report to the Senior Director, Associate General Counsel, who values building rapport and camaraderie, emphasizing the importance of relationships both within the team and with external partners. This leadership style fosters a supportive environment where collaboration is celebrated. The work setup for this position is hybrid if you are near the headquarters or Durham office, allowing for a combination of on-site and remote work, with the expectation of attending the office a few days a week as needed.
The role involves minimal travel, with requirements of less than 10% travel, allowing for a strong focus on in-office and remote work efficiencies while engaging with internal teams and clients as necessary.
Your Role
+ Structure, draft, and negotiate high-value enterprise sales, OEM, and channel partner agreements to support Nutanix’s hybrid multi-cloud offerings.
+ Provide legal guidance on commercial agreements related to hybrid cloud licensing models, ensuring compliance with regulations and internal policies.
+ Advise on data protection and cybersecurity obligations, negotiating data processing agreements and related addenda.
+ Apply knowledge of revenue recognition principles to structure agreements that optimize financial outcomes, collaborating closely with the Finance team.
+ Develop and maintain contract templates and negotiation playbooks to enhance scalability and drive efficient commercial operations.
+ Act as a trusted advisor to cross-functional teams, providing proactive legal support that aligns with business objectives.
+ Identify and mitigate legal risks in commercial transactions, ensuring alignment with business goals and regulatory compliance.
+ Establish relationships with key stakeholders and clients, aiming to become a trusted advisor and actively engage in complex commercial transactions.
What You Will Bring
+ Juris Doctor (JD) from an accredited law school with active state bar membership.
+ 8-12 years of legal experience in commercial transactions, particularly SaaS and enterprise licensing.
+ Deep expertise in privacy, security, and revenue recognition principles.
+ Proven experience structuring and negotiating complex commercial agreements.
+ Strong understanding of hybrid cloud environments and associated legal implications.
+ Exceptional drafting, negotiation, and analytical skills with attention to detail.
+ Ability to manage multiple high-stakes projects in a fast-paced, global environment.
+ Excellent communication and interpersonal skills to foster collaboration across teams.
Work Arrangement
Hybrid: This role operates in a hybrid capacity, blending the benefits of remote work with the advantages of in-person collaboration. For most roles, that will mean coming into an office a minimum 3 days per week, however certain roles and/or teams may require more frequent in-office presence. Additional team-specific guidance and norms will be provided by your manager.
The pay range for this position at commencement of employment is expected to be between USD $ 160,000 and USD $ 320,400 per year.
However, base pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. The total compensation package for this position may also include other elements, including a sign-on bonus, restricted stock units, and discretionary awards in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as vacation, sick time, and parental leave), dependent on the position offered. Details of participation in these benefit plans will be provided if an employee receives an offer of employment.
If hired, employee will be in an “at-will position” and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
