    The Senior Corporate Counsel provides direct, key support to the Company regarding corporate governance, corporate transactions (including M&A and joint ventures), financial transactions, real estate transactions, investments and other corporate transactions, and provides strategic advice to the Company on a broad range of transactional matters.

    Essential Functions:

    • Lead and support mergers, acquisitions, joint ventures, investments, partnerships and other strategic transactions through the full life cycle, including opportunity assessment, deal structuring, negotiation, due diligence and execution.

    • Draft, review and negotiate transaction documents including definitive agreements, letters of intent and ancillary documents.

    • Provide strategic advice to the business development team, senior management and other internal stakeholders.

    • Support the Corporate Affairs legal team on a broad range of corporate matters, including financings, corporate governance (including subsidiary management), government affairs compliance, real estate and employee benefit plans.

    • Advise on Intercompany arrangements.

    • Advise on best industry practices and trends.

    • Drive timely completion of critical cross-functional work product, including communicating with and securing cooperation from directors, senior management, and other stakeholders throughout the enterprise in relation to corporate matters.

    • Liaise with, and manage, outside counsel as necessary.

    Experience/Education:

    • JD required

    • License to practice law in at least one state

    • Minimum of 8 years of direct experience with related corporate matters and transactions, particularly with health insurers.

    Other skills:

    • Exceptional attention to detail with excellent verbal and written communication skills.

    • Highly organized, precise and proactive.

    • Able to work independently, including formulating practical solutions.
