Are you passionate about corporate governance, shareholder engagement, and driving excellence? We’re looking for a dynamic and detail-oriented leader to join our team here at Citizens Bank as the Head of Shareholder Services & Corporate Governance. In this high-impact role, you’ll be at the heart of our governance strategy, ensuring transparency, compliance, and strong relationships with our shareholders and board!

What You’ll Do:

Shareholder Services

+ Lead all aspects of shareholder relations, including managing our transfer agent, stock register, and corporate actions like dividends and repurchases.

+ Oversee Section 16 compliance, beneficial ownership tracking, and insider trading policies.

+ Drive the end-to-end process for our Proxy Statement and Annual Meeting—from drafting to distribution and logistics.

+ Monitor shareholder voting trends and proxy advisor recommendations, and lead our annual shareholder outreach program.

Corporate Governance

+ Manage board and committee governance, including D&O questionnaires, evaluations, and director onboarding.

+ Maintain and evolve our Corporate Governance Manual, Guidelines, and related policies in line with NYSE and SEC standards.

+ Support ESG governance initiatives and ensure timely updates to public disclosures and regulatory filings.

Nominating & Corporate Governance Committee

+ Serve as the key liaison to the NCG Committee, coordinating meetings, materials, and strategic updates.

+ Ensure committee operations align with evolving regulatory and business needs, and support cross-functional collaboration across board committees.

What You Bring:

+ Deep knowledge of public company governance, SEC/NYSE regulations, and shareholder engagement best practices.

+ Strong project management and communication skills, with the ability to lead cross-functional initiatives and interact with senior stakeholders.

+ A proactive, solutions-oriented mindset and a passion for governance excellence.

Qualifications

+ Juris Doctor (J.D.) (preferred) from an accredited U.S. law school and active bar membership in good standing in at least one U.S. jurisdiction (preference for Connecticut, Massachusetts, or New York).

+ Bachelor's Degree required.

+ Minimum of 5 years of progressive legal and governance experience, including a combination of top-tier law firm practice (AmLaw 100 preferred) and in-house leadership within a publicly traded financial institution or similarly regulated environment.

+ Demonstrated expertise in corporate governance, securities regulation, and shareholder engagement, with a strong understanding of SEC, NYSE, and banking regulatory frameworks.

+ Exceptional written and verbal communication skills, with the ability to deliver clear, concise, and strategic guidance to senior executives and board members.

+ Proven ability to navigate complex, novel, or ambiguous issues with sound judgment and a solution-oriented mindset.

+ Strong leadership and team management capabilities, with a collaborative approach and the ability to influence across functions and levels.

+ Adept at balancing risk management and business enablement, with the confidence to advocate for institutional integrity while remaining flexible and pragmatic.

+ Comfortable operating in a fast-paced, highly regulated environment, with the ability to manage multiple priorities and deliver under tight deadlines.
