Description We are looking for a detail-oriented Contracts Administrator to join our team on a long-term contract basis. In this role, you will provide critical legal support by reviewing, drafting, and negotiating software license agreements and other related contracts. This position will play a key role in ensuring compliance with state procurement regulations and mitigating risks associated with unacceptable contract terms. This is a remote opportunity based out of Atlanta, Georgia.
Responsibilities:
• Review, draft, and negotiate contracts, amendments, and software license agreements to ensure compliance with state regulations.
• Identify and address non-compliant clauses in software agreements, particularly those that conflict with Georgia state requirements.
• Collaborate with internal teams to support the procurement process and ensure contracts align with legal and operational standards.
• Provide guidance on subscription-based IT and cloud-computing agreements, ensuring adherence to state policies.
• Analyze reseller agreements and associated terms to mitigate risks related to third-party ownership provisions.
• Advise stakeholders on prohibited contractual clauses and recommend alternative terms that comply with state laws.
• Assist in the renewal process for existing software agreements, ensuring terms remain compliant and favorable.
• Maintain organized records of contract reviews, negotiations, and approvals for audit and reference purposes.
• Stay updated on state procurement policies and legal requirements to inform contract management practices. Requirements • Proven experience in drafting, reviewing, and negotiating contracts, particularly in IT or software agreements.
• Strong understanding of state contracting and procurement processes, preferably within Georgia or similar jurisdictions.
• Familiarity with legal terms and conditions, including prohibited clauses in state agreements.
• Exceptional attention to detail with the ability to identify non-compliant contract language.
• Proficient in redlining and revising contracts to align with organizational and legal standards.
• Strong negotiation skills to achieve mutually beneficial outcomes in vendor agreements.
• Ability to work collaboratively with cross-functional teams and communicate effectively with stakeholders.
• Bachelor's degree in law, business administration, or a related field is preferred.
