Job Title: Contracts Administrator
Job Description
We are seeking a highly skilled Contracts Administrator to manage and oversee various contractual agreements. The successful candidate will draft, review, and edit routine contracts, manage the contract lifecycle, and support counsel and internal clients. Additionally, the role involves maintaining corporate governance records, assisting with regulatory filings, and providing general legal support.
Responsibilities
+ Draft, review, and edit routine contracts such as NDAs, service agreements, consulting agreements, supply and vendor contracts, master service agreements, and clinical trial agreements.
+ Manage the contract lifecycle, including intake, tracking, execution, and archiving through contract management systems or databases.
+ Support counsel and internal clients with redlines, revisions, and communication with counterparties.
+ Monitor contract compliance and key obligations, coordinating renewals or amendments.
+ Assist in the development and revision of standard form agreements.
+ Maintain corporate records, including minutes, resolutions, bylaws, and organizational documents.
+ Coordinate annual filings, business licenses, and other regulatory filings as required.
+ Assist in preparing board and committee materials and maintaining governance calendars.
+ Support compliance initiatives and corporate policies such as signature authority and document retention.
+ Assist with due diligence, audits, and internal or external inquiries.
+ Support the implementation and internal training of contract forms and procedures.
+ Manage the Legal Department's internal intranet page and employee-accessible SharePoint files.
Essential Skills
+ Strong understanding of corporate governance principles.
+ Knowledge and understanding of global regulations and guidelines, including GxP.
+ Ability to communicate highly confidential information to upper-level staff.
+ Flexibility and willingness to learn new procedures and skill sets.
+ Collaboration skills with departments such as Clinical, Commercial, Finance, Research & Development, Manufacturing, and Supply Chain/Purchasing.
+ Ability to work in a fast-paced, deadline-driven environment.
+ Strong attention to detail with the ability to handle multiple contract negotiations simultaneously.
+ Excellent organizational skills and the ability to prioritize effectively.
+ Proficiency in MS Word, Excel, PowerPoint, Outlook, SharePoint, and related software.
+ Ability to work independently and as part of a team.
+ Strong interpersonal skills, including verbal and written communication.
Additional Skills & Qualifications
+ Bachelor's degree is required; a paralegal certificate from an accredited program is preferred.
+ Minimum of 5 to 10 years of contracts and/or corporate experience, preferably in a biotech or pharma company.
+ Experience with reviewing confidentiality agreements, master service agreements, material transfer agreements, supply chain agreements, and clinical trial agreements.
Work Environment
This is a hybrid role with on-site work required on Mondays and Wednesdays. The position offers a collaborative work environment where strong interpersonal skills are essential. The candidate must be authorized to work in the U.S.
Job Type & Location
This is a Contract to Hire position based out of South San Francisco, CA.
Pay and Benefits
The pay range for this position is $65.00 - $67.00/hr.
