The Opportunity
As an **Associate Attorney for In-House Transactions** , you will function in a mid-level attorney capacity actively being responsive to the needs of Diode while also answering to and taking direction from the Assistant General Counsel of the Segment while also managing outside counsel for project specific matters as well as being a member of the B&V Legal Department answering ultimately to the General Counsel of B&V. You will assist and directly handle a variety of legal matters that arise in Diode, but particularly focused on performing due diligence from a regulatory, legal, title, compliance, tax structuring, strategic and practical perspective as well as drafting, editing, revising and completing Asset
Purchase Agreements (APAs), Membership Interest Purchase Agreements (MIPAs), Purchase and Sale Agreements (PSAs) and all associated documents that are required to initiate and complete a complex transaction in the data center infrastructure, energy and commercial real estate sectors. In this role, you will have the opportunity to:

We specifically work with data center infrastructure, energy and project development with a strong focus on real estate transactional work.
Key Responsibilities
+ Take initiative on project or project portfolio strategy and work in conjunction with Diode’s Leadership, Black & Veatch’s Legal Department and outside counsel to develop multi-faceted transaction structures, even “first of their kind” with your previous experience in law, finance, government and/or private sector positions, whether solely in the legal field or not.
+ Provide advice and guidance to team members relating to timeline and process for site identification, acquisition, due diligence, tenanting, construction, contracting, financing, title review, zoning, and tax incentives through disposition/sale.
+ Draft, review, edit and provide recommendations to Diode Leadership on complex legal documents including lease agreements, options, estoppels, SNDA’s, waivers, oil/gas and mineral set aside agreements, contracting and services agreements and confidentiality agreements.
+ Monitor relevant federal, state, and local real property related laws, statute/regulatory changes or changes in tax incentives or zoning rules/procedures for real property developments.
+ Assist with negotiations to ensure the business interests and objectives ofthe firm are clearly identified, adequately protected, and the risk of loss or liability is minimized.
+ Develop and share current knowledge of latest technology and processes.
+ Continue to learn and remain current on division legal guides, standards, systems, and company policies and procedures.
+ Review and provide preliminary approval of outside counsel invoices.
Management Responsibilities
Acts in capacity of a "lead person." Does not have management responsibility for the people to whom they provide work direction.
Minimum Qualifications
+ Law degree required.
+ Licensed to practice law in at least 1 jurisdiction
+ All applicants must be able to complete pre-employment onboarding requirements (if selected) which may include any/all of the following: criminal/civil background check, drug screen, and motor vehicle records search, in compliance with any applicable laws and regulations.
Preferred Qualifications
+ 6+ years of experience including 3 years as an Attorney
+ The additional 3+ years can be as an attorney or in the financial sector, in the commercial real estate sector, and/or as a paralegal focused on complex transactions.
+ Experience as a Mid to Senior Associate Attorney with management responsibilities from an AM Law 100 law firm, preferably with a background in energy transactions and/or commercial real estate.
+ Senior Counsel experience with management responsibilities from an AM Law 100 law firm and/or as in-house counsel, preferably with a background in energy transactions and/or commercial real estate.
+ Previous experience with international transactions.
+ Experience with project finance and/or tax equity.
