    The Paralegal provides support directly to the Legal Department and internal clients on a broad range of topics relating to, but limited to labor and employment, healthcare and regulatory matters. This position will work closely with Company’s internal clients to provide guidance on employment agreements, independent contractor agreements, confidentiality agreements, nondisclosure agreements, vendor contracts, new and established Company policies to ensure the Company’s compliance with the law.

    ESSENTIAL JOB DUTIES/RESPONSIBILITIES:

    + Prepares, reviews, and revises legal contracts, legal forms, and documents for legal risks and accuracy.

    + Advises management and executives on contractual terms, conditions, rights, and obligations.

    + Maintains and updates the company files, reviewing legal documents, corporate books, and gives legal assistance.

    + Prepares agreements, addendums, affidavits, releases, or other documents as requested or required by the legal team and internal clients.

    + Ability to process and implement changes to contracts to comply with legislation/regulations.

    + Gathers and analyzes research data, such as statutes, decisions, and legal articles, codes, and documents.

    + Provides guidance and recommendations to Company’s internal clients to mitigate risks based on knowledge and research.

    + Assists in the development and implementation of policies, procedures, and standard terms for agreements.

    + Works with internal clients as well as external counsel, as required, on policy, contract and agreement matter.

    + Participates and provides support in the review and investigation of any claims, actions, or lawsuits filed against the Company, by assisting in developing defense strategies, evaluating the strength of the claims, conducting risk analyses, and evaluating resolution opportunities.

    + Assists and manages outside counsel as directed by the General Counsel in a broad range of matters and oversees and supervises litigation to promote efficient and effective dispute resolution of potential and actual disputes.

    + Supports various ongoing legal and special projects, including, but not limited to audits, risk assessments, corporate entity, and organizational restructuring.

    + Assists in designing a strategic roadmap that addresses process changes, technology adoption, and internal/external collaboration.

    + Handles corporate governance matters for 100+ domestic affiliated entities and subsidiaries including (i) drafting minutes and board of directors’ meetings; (ii) creating and maintaining corporate minute books; (iii) drafting necessary documentation; (iv) preparing, processing, and maintaining regulatory filings (i.e., state qualification filings).

    + Coordinates the Legal Department’s activities and maintains the Legal database and files.

    + Supports Legal COE’s initiation and management of visa cases for all sponsored foreign national employees in accordance with USCIS guidelines to obtain work authorization and ensure compliance throughout employee’s tenure.

    + Acts as a liaison between outside legal counsel on certain legal matters such as immigration and civil lawsuits. Reviews all filing materials prepared by outside counsel for accuracy and oversees the management of cases while remaining attorneys informed of progress.

    + Coordinates the depositions of employees for litigation matters as well as non-party claims and reviews subpoenas for accuracy.

    + Manages basic legal office functions including supply orders, the mail, legal email inbox, the office phone, triage contract reviews to the legal team as required, legal invoices, and the legal team calendar to schedule meetings, conferences, and department activities, as well as other administrative tasks.

    + Participates in developing department goals, objectives, and systems.

    + Performs other duties as assigned and modified at the manager’s discretion.

    KNOWLEDGE, SKILLS, AND ABILITIES:

    + Ability to manage a fast-paced workload, working well under pressure, and prioritize multiple projects

    + A self-starter with the ability to interact with people at all levels of the corporate structure, prioritize and handle numerous competing demands in a high-volume, fast-paced working environment

    + Accurate, and detailed strong verbal and written communication skills.

    + Ability to work independently while functioning in a team environment

    + Strong research, analytical and critical thinking skills

    + Experience working on procedures and documents pertaining to finance, corporate filings, trademarks, patents, and other similar issues

    + Professional demeanor and strong interpersonal skills

    + Excellent organizational skills and strong attention to detail and accuracy

    + Excellent written and oral communication skills

    + Must be able to work in a team environment

    + Thorough knowledge of legal terminology, principles, and practices

    + Thorough knowledge of legal research techniques and relevant filing requirements

    + In-depth knowledge of local, state, and federal laws and regulations

    + Proficient in Microsoft Office Suite products including Word, Excel, PowerPoint and Outlook, database, and presentation software

    + Ability and willingness to travel locally, regionally, and nationwide up to 10% of the time

    + Spoken and written fluency in English

    + This job requires the use and exercise of independent judgment

    EDUCATION / SPECIALIZED KNOWLEDGE REQUIREMENTS:

    + Associate's degree is required; Bachelor's degree in relevant field preferred

    + Paralegal certification or one to two years of related experience and/or training; or equivalent combination of education and experience

    + Minimum one (2) year of previous experience as a paralegal (in-house preferred)

    + Proficient in Microsoft Office suite (including Outlook calendar management)

    PAY RANGE:

    $68,346 - $97,636 Salary
