Your role at Clorox:
The Clorox Company is seeking a highly motivated and skilled attorney to join our Legal team as Corporate Counsel. This role will provide legal support for the company’s securities law compliance, corporate governance matters, and strategic transactions, including M&A and financing matters. This position requires strong analytical skills, sound judgment, and the ability to operate effectively in a fast-paced environment.
The role will report into the VP, Associate General Counsel & Assistant Corporate Secretary.
In this role, you will:
+ Provide support in all areas of securities regulation and compliance, including the Securities Act of 1933 and Securities Exchange Act of 1934 and related rules; NYSE Listing Rules; the Sarbanes Oxley Act of 2002; the Dodd-Frank Act.
+ Manage the Company’s insider trading compliance program, including policy updates, administration of blackout periods, maintenance of the insider trading list, and oversight of related employee communications and training.
+ Manage compliance with Section 16 reporting requirements, including preparing and reviewing Forms 3, 4, and 5, coordinating with insiders and brokers, and ensuring timely filings with the SEC, as well as other aspects of company stock administration.
+ Support the preparation and maintenance of corporate governance documentation, including corporate governance guidelines, committee charters, related-party transactions policy, etc.
+ Assist with drafting of various portions of the annual meeting proxy statement and assist with preparation for the annual meeting of shareholders.
+ Keep up to date on proposed and existing U.S. legislation and regulations and corporate governance trends applicable to the Company.
+ Provide support on corporate and other transactional work, including strategic corporate transactions and M&A. This would include review of transactional NDAs, coordination of due diligence efforts, working closely with outside counsel and cross-functional subject matter experts, closing activities, and more, under the supervision of a senior M&A attorney.
+ Assist in other substantive legal areas and work with other attorneys and legal staff on departmental matters as needed, including financing transactions.
What we look for:
+ JD degree from a top-tier accredited law school with ability to practice law in California and top academic credentials.
+ At least 3-6 years of relevant experience as a practicing attorney (in-house experience, a plus).
+ Deep knowledge of U.S. securities laws and regulations, including stock exchange requirements.
+ Strong understanding of and experience with public company disclosure requirements, including drafting and reviewing proxy statements, SEC filings, including Section 16 filings (Forms 3, 4, 5), and shareholder communications.
+ Experience advising on securities regulation and compliance matters, managing insider trading compliance, stock administration, and supporting annual shareholder meetings.
+ Ability to monitor and interpret U.S. legislation, regulations, and governance trends impacting securities compliance and disclosure.
+ Experience supporting strategic corporate transactions, including M&A, a plus.
+ Familiarity with corporate governance matters (e.g., Board, minutes, guidelines, charters, related-party transaction policies), a plus.

We use broad salary ranges that reflect the competitive market for similar jobs, provide sufficient opportunity for growth as you gain experience and expand responsibilities, while also allowing for differentiation based on performance. Based on the breadth of our ranges, most new hires will start at Clorox in the first half of the applicable range. Your starting pay will depend on job-related factors, including relevant skills, knowledge, experience and location. The applicable salary range for every role in the U.S. is based on your work location and is aligned to one of three zones according to the cost of labor in your area.
•Zone A: $128,000 - $252,200
•Zone B: $117,400 - $231,200
•Zone C: $106,700 - $210,200

This job is also eligible for participation in Clorox’s incentive plans, subject to the terms of the applicable plan documents and policies.
