Description We are looking for an experienced Corporate Paralegal to join our team in Philadelphia, Pennsylvania. This is a Contract to permanent position, offering the opportunity to work in a dynamic and fast-paced legal environment. The ideal candidate will possess strong organizational skills and attention to detail, and will play a vital role in supporting attorneys and clients with various corporate legal matters.
Responsibilities:
• Prepare and file documents with state and government agencies, including formations, dissolutions, amendments, and trademark maintenance filings.
• Track filing statuses and coordinate with clients and vendors to ensure necessary signatures and information are obtained.
• Respond promptly to attorney and client requests for information or document production.
• Draft and organize corporate documents such as resolutions, meeting minutes, share certificates, and assignments of shares or membership interests.
• Gather and verify information for resolutions related to corporate, partnership, or non-profit activities.
• Conduct legal and non-legal research to support attorneys and case preparation.
• Maintain and update case management systems, ensuring documents are well-organized and accessible.
• Assist attorneys with shareholder and board of director updates, including drafting and transmitting necessary correspondence.
• Provide overflow paralegal support to balance team workloads effectively.
• Collaborate with attorneys to update client records and address changes such as name or address updates. Requirements
• Familiarity with iManage and Westlaw/Practical Law is strongly preferred.
• Exceptional written and verbal communication skills.
• Meticulous attention to detail and ability to handle multiple tasks in a fast-paced environment.
• Consistent and punctual attendance is required.
• Paralegal certification or equivalent experience in corporate law.
• Ability to work independently while integrating seamlessly into a team.
